ARTICLES OF AGREEMENT
ARTICLE I
This association shall be known as
the American Women's Hockey Coaches Association, hereinafter referred to
as the AWHCA.
ARTICLE II
The purposes of the AWHCA shall be:
1) To organize, continue and improve the program of competition in women's ice hockey, both within itself and with other interested institutions under conditions compatible with the objectives, functions and responsibilities of institutions of higher learning.2) To work closely with recognized sports organizations and sponsorships to foster the growth of women's ice hockey.
3) To work closely with other hockey organizations in encouraging and facilitating research on the development of women's ice hockey and distribute the findings.
4) To accentuate, improve and continue the spirit of competition and to further the continual evaluation of standards and policies of the AWHCA.
5) To produce and distribute materials which will be of assistance to individuals and institutions in the development and improvement of women's ice hockey in general.
6) To provide a forum in which representatives of the AWHCA will meet annually for the discussion of problems, exchange of information and the determination of policies and procedures for the betterment of women's ice hockey.
7) To sponsor clinics, suggest rule changes and to generally represent the concerns and interest of collegiate women's ice hockey in the United States.
ARTICLE
III
Membership shall be limited to junior colleges, colleges and universities of membership with the National Collegiate Athletic Association (NCAA) where there is demonstrated faculty control over policies and regulations governing the conduct of intercollegiate athletics. Membership is subject upon request, to the written approval of the member institutions' athletic director, administrative head or team advisor. Membership is also open to all club teams and secondary and prep/private school coaches and to any interested individual concerned with the advancement of women's ice hockey.
Furthermore:
1) Members will acknowledge and adhere to the special rules, agreements and By-Laws listed here within which are intended to provide consistency and fairness to all members.2) Specific rights of the members shall be noted in the By-Laws.
ARTICLE IV
The AWHCA shall have officers as designated in the By-Laws. Their qualifications, method of selection and their respective duties and powers shall also be noted in the By-Laws.
ARTICLE V
The AWHCA shall adopt By-Laws, consistent with the aforementioned Articles, which may be amended, changed or eliminated as voted by a two-thirds (2/3) vote of the membership present either in meeting/conference or by a special mail vote as determined by the AWHCA President. These By-Laws may also be divisible into two or more parts with separate sub-titles or designations.
ARTICLE VI
No part of the net earnings of the AWHCA shall be incurred to the benefit of any member, sponsor, donor, creator, director, officer, employee or without limitation, any other private individual any part of earnings of which insure to the benefit of any private individual; provided this shall not prevent payment of reasonable compensation for services actually rendered to or for the AWHCA in affecting its purposes.
ARTICLE VII
Neither the officers, directors, delegates or members of the AWHCA nor their property shall be subject to or chargeable with the payments of debts or obligations of the AWHCA.
ARTICLE VIII
Amendments to these Articles shall
be proposed by the Board of Directors in a resolution setting forth the
proposed amendments, directing they be submitted to the AWHCA membership
for vote at its next meeting. Any member is allowed to propose an amendment,
provided a copy is presented to the Board of Directors and approved; written
notice of meeting setting forth the proposed amendment(s) shall be given
to every AWHCA member at least twenty (20) days prior to the date of the
meeting.
